Copyright and Trademarks

Unless otherwise stated, copyright and all intellectual property rights in all material presented on the Site (including but not limited to text, audio, video or graphical images), trademarks and logos appearing on this Site are the property of RB Innovate LLP, its parent, affiliates and associates and are protected under applicable Indian laws. You agree not to use any framing techniques to enclose any trademark or logo or other proprietary information of RB Innovate LLP; or remove, conceal or obliterate any copyright or other proprietary notice included on the Site/Service. Any infringement shall be vigorously defended and pursued to the fullest extent permitted by law.

Limited Permission to Copy

RB Innovate LLP grants you permission to only access and make personal use of the Site. You agree not to directly or indirectly download, modify, copy, publish, distribute or otherwise disseminate any content on the Site, or any portion of it, except with the express consent of RB Innovate LLP. You may print or download extracts from these pages for your personal, non-commercial use only.

Individual Registration, Access and Exchange of Information

For certain services, registration by the visitor may be required. As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms. You may not use the Services in any manner that could damage, disable, overburden, or impair any RB Innovate LLP server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, or computer systems through hacking, password mining or any other means.

Material Posted / Transmitted on Site

You understand that all Content posted by you becomes the property of RB Innovate LLP and you agree to grant RB Innovate LLP and its affiliates a non-exclusive, royalty-free, perpetual, irrevocable and sub-licenseable right to use, reproduce, modify, adapt, publish, translate, distribute, perform and display such Content worldwide. By using community services such as chat, you agree not to upload or transmit any matter that is defamatory, abusive, obscene, hateful, or racially or ethnically objectionable.

Prohibited Activities

You agree that you shall not host, display, upload, modify, publish, transmit, update or share any information on the Site that:

• Belongs to another person and to which you do not have any right;
• Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially or ethnically objectionable, or otherwise unlawful in any manner;
• Harms minors in any way;
• Infringes any patent, trademark, copyright or other proprietary rights;
• Violates any law for the time being in force;
• Deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
• Impersonates another person or contains software viruses or any other computer code designed to interrupt, destroy or limit the functionality of any computer resource;
• Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order.

Any content uploaded by you shall be subject to relevant Indian laws and may be disabled or subject to investigation under appropriate laws. If you are found to be in non-compliance with these terms, the Firm shall have the right to immediately terminate/block your access and usage of the Site.

Limitation of Liabilities

Any transactions relating to sale/purchase of goods or services not directly offered by RB Innovate LLP are to be settled inter-se between the parties to such transaction. RB Innovate LLP merely endeavours to provide a platform where parties may interact, exchange information or carry out transactions. RB Innovate LLP does not have any involvement in the actual transactions between buyers and sellers.

Under no circumstances will RB Innovate LLP be liable to any monetary, commercial, financial or any other form of liability. RB Innovate LLP shall not be responsible or liable, in any way, for any content which in legal opinion is derogatory, threatening, defamatory, obscene or offensive, or for any loss or damage of any kind incurred as a result of the use of any content posted or uploaded on the Site.

Termination of Account

RB Innovate LLP reserves its right to refuse service, restrict, suspend or terminate your account at any time, with or without cause and with or without prior notice, for any violation of these Terms of Use. Upon such termination, your right to use the RB Innovate LLP websites will immediately cease.

You can also terminate your account at any time, but your information may remain stored in archive on our servers even after the deletion or termination of your account.

User Conduct and Obligations

You hereby agree and assure RB Innovate LLP that the Site/Services shall be used for lawful purposes only. You further agree that you will not, through the Site/Service:

• Post, distribute, or otherwise transmit any software or files that contain a virus, trojan horses, time bombs, bots, malicious content, or any other harmful programs;

Disclaimer

Except for the express warranties stated herein, the Site/Service is provided on an "as is" basis, and RB Innovate LLP disclaims any and all other warranties, conditions, or representations (express, implied, oral or written). RB Innovate LLP and its parent, affiliates and associates shall not be liable at any time for any direct, indirect, punitive, incidental, special or consequential damages arising in contract, tort or otherwise from the use of or inability to use the Site, or any of its contents.

No representations, warranties or guarantees whatsoever are made by RB Innovate LLP as to the accuracy, adequacy, reliability, completeness, or applicability of the information to a particular situation; that the service will be uninterrupted, timely, secure, or error-free; or that any errors in the website will be corrected.

All the contents of this Site are only for general information or use. Certain links on the Site lead to resources located on servers maintained by third parties. RB Innovate LLP neither endorses nor offers any judgement or warranty and accepts no responsibility or liability for the authenticity, availability, suitability, reliability or accuracy of information contained on any such third-party sites. Material Submitted by Users

Certain elements of the Site will contain material submitted by users. RB Innovate LLP accepts no responsibility for the content, accuracy, or conformity to applicable laws of such material. You will indemnify and hold harmless RB Innovate LLP against all third-party claims, demands and actions arising from or relating to the material submitted by you.

Advertising Material

Part of the Site contains advertising information or promotion material submitted to RB Innovate LLP by third parties. Responsibility for ensuring that material submitted for inclusion on the Site complies with applicable law is exclusively on the party providing the information. Relationship

None of the provisions of the User Agreement shall be deemed to constitute a partnership or agency between you and RB Innovate LLP and you shall have no authority to bind RB Innovate LLP in any manner, whatsoever.

Force Majeure

RB Innovate LLP shall have no liability to you for any interruption or delay in access to the Site irrespective of the cause.

Governing Law

This Agreement shall be governed by the Laws of India. The Courts of law at Bangalore shall have exclusive jurisdiction over any disputes arising under this agreement. You and RB Innovate LLP agree that any cause of action arising out of or related to the RB Innovate LLP websites must commence within one (1) year after the cause of action accrues, otherwise such cause of action will be permanently barred.

General Terms

Rights and obligations under the Terms which by their nature should survive will remain in full effect after termination or expiration of the Terms. If any provision of the Terms is held invalid by any law or regulation of any government, or by any court or arbitrator, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms will remain in full force and effect.

Notice of Copyright Infringement

RB Innovate LLP is not liable for any infringement of copyright arising out of materials posted on or transmitted through the site by end users or any other third parties. Grievance Redressal Mechanism

Any complaints, abuse or concerns with regards to content, comments or breach of these terms shall be immediately informed to the designated Grievance Officer in writing or through email. Please provide the following information in your complaint:

• A physical or electronic signature of a person authorized to act on behalf of the copyright owner for the purposes of the complaint.

• Identification of the material on our website that is claimed to be infringing or to be the subject of infringing activity.
